MEJURI & THE WIE SUITE

By submitting my application, I agree to these Mejuri – WIE Fellowship Terms and Conditions (the “Terms”) and to the WIE Suite Terms and Conditions https://www.thewiesuite.com/terms-of-use, which are hereby incorporated by reference. 

1. Mejuri – WIE Fellowship. As part of its efforts to increase diversity in the fashion and jewelry industry, Mejuri Inc. (“we”, “us”, “our”, “Mejuri”) has partnered with The WIE Suite (“WIE Suite”) to make five (5) Fellowships with The WIE Suite available to women from underrepresented communities (the “Fellowship(s)”).

2. Eligibility. To be eligible for a Fellowship, you (“you”, “your”, “Applicant”) must be: 

1. at least eighteen (18) years old; 

2. you are a legal resident of the United States, Canada, or the United Kingdom 

3. of legal age to form a binding contract; 

4. not an employee, or family member of an employee, of either Mejuri or WIE Suite;

5. not a person barred from using Services by WIE or under the laws of the United States, Canada or the United Kingdom, your place of residence or any other applicable jurisdiction; and 

6. identifies as a woman

7. is from an underrepresented community. 

8. is a business executive:

   1. Non profit or small business - less than 100 employees

   2. Currently holds leadership position at the Director and above level

   3. Decision maker in organization

   4. Oversight of department and team 

   5. 8+ years work experience

(viii) or a Entrepreneur or Service based business owner

1. Founder, CEO or President company

2. Venture backed startup - seed or pre-seed stage - no more than $500k raised

3. Service based business

4. In business for 5 years+

5. And/or gross annual revenues of $1m +

6. 5+ full time employees

By applying for a Fellowship, you represent and warrant that you meet all of the eligibility requirements set forth in these Terms. We may change our eligibility criteria at any time, at our sole discretion. 

1. Application Period. Applications can be submitted commencing on March 28th, 2024 and ending on April 11th, 2024. Applications submitted after the deadline will not be accepted. Fellowships will be awarded on May 1st, 2024  (“Selection Date”).

2. Fellowships. There will be five Fellowships available to be awarded.  We reserve the right to award only some – or none – of the Fellowships. Any and all costs (including taxes) not expressly included in the Fellowship are the sole responsibility of the person that is awarded the Fellowship (the “Selected Applicant”). The Fellowship must be accepted as awarded without substitution and is not transferable, not for resale and has no cash value. Under no circumstances may any portion, component or element of a Fellowship be resold or offered for resale by the Selected Applicant or any other person. Other restrictions may apply. We reserve the right, in the event that the Fellowship or any component of the Fellowship cannot be provided as described, or for any reason whatsoever, to substitute [NTD: Do we need to substitute and if so what would it be?]

1. Selection of Applicants: Mejuri and WIE Suite will jointly review applications and select the Selected Applicants. The Selected Applicants will be contacted by email within two (2) business days of the Selection Date. In the event that we are unable to contact a Selected Applicant or in the event a Selected Applicant: (a)  is unable to or unwilling to accept the Fellowship as awarded to her in full for any reason, (b) is deemed to have forfeited the Fellowship under the terms of these Terms; or (c) is otherwise not in compliance with these Terms, then she will be disqualified and another alternate applicant will be selected, until such time as contact is made by email with a Selected Applicant or there are no more eligible applications, whichever comes first. We are not responsible for failed attempts to contact a Selected Applicant. 

1. Disclaimer of Warranties. The Fellowships and all associated materials, content and other components arising out of or related to the Fellowships are provided “as is” and “as available,” without warranty or conditions of any kind. By providing the Fellowships, we do not represent or imply that we endorse any materials, content, or items available as part of the WIE Suite offerings, including, without limitation, content hosted on third party websites, or that we believe any materials or items to be accurate, useful or non-harmful. We cannot guarantee and do not promise any specific results from the Fellowships. No advice or information, whether oral or written, obtained by you from us shall create any warranty not expressly stated in these Terms. You agree that your acceptance and use of the Fellowship will be at your sole risk. 

To the fullest extent permitted by law, Mejuri, WIE Suite, and each of our respective advertisers, licensors, suppliers, officers, directors, investors, managers, members, partners, affiliates, employees, agents, service providers, and other contractors disclaim all warranties, express or implied, in connection with the Fellowships. We make no warranties or representations about the accuracy, reliability, timeliness, or completeness of the Fellowships, the content and offerings available through the Fellowships, the content of any third party websites or applications, or information or any other items, content or materials available through the Fellowships. 

We assume no liability or responsibility for any (a) errors, mistakes, or inaccuracies of content and materials, (b) personal injury or property damage, of any nature whatsoever, resulting from your acceptance and/or use of the Fellowship, (c) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein, (d) any interruption or cessation of the Fellowship, (e) any bugs, viruses, Trojan horses, or the like, which may be transmitted to or through the internet, any website and/or application, or network by any third party, and/or (f) any errors or omissions in any content and materials, or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted or otherwise made available through the Fellowship.

1. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEJURI, WIE AND THEIR RESPECTIVE PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SUPPLIERS (COLLECTIVELY, THE “MEJURI AND WIE SUITE PARTIES”) SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS OR REVENUE OR FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES OR COSTS DUE TO LOSS OF DATA, PRODUCTION, OR USE, BUSINESS INTERRUPTION OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, WHETHER OR NOT THE WIE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THESE TERMS, THE TOTAL LIABILITY OF THE MEJURI AND WIE SUITE PARTIES TO YOU IN RESPECT OF ANY LOSS OR DAMAGE SUFFERED BY YOU AND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS AND/OR THE FELLOWSHIP, WHETHER IN CONTRACT, TORT, OR FOR BREACH OF STATUTORY DUTY OR IN ANY OTHER WAY SHALL NOT EXCEED $50.00 CAD. YOU ACKNOWLEDGE AND AGREE THAT MEJURI AND WIE SUITE PARTIES ARE NOT LIABLE, AND YOU AGREE NOT TO SEEK TO HOLD THE MEJURI AND WIE SUITE PARTIES LIABLE, FOR THE CONDUCT OF THIRD PARTIES, INCLUDING OPERATORS OF EXTERNAL SITES, AND THAT THE RISK OF INJURY FROM SUCH THIRD PARTIES RESTS ENTIRELY WITH YOU. SOME STATES DO NOT ALLOW FOR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE LIMITATIONS SET FORTH IN THIS SECTION MAY NOT APPLY TO YOU AND YOU MIGHT HAVE OTHER RIGHTS. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN MEJURI, WIE SUITE, AND YOU.

2. Release. If you are a Selected Applicant, by accepting the Fellowship, you: 

1. acknowledge acceptance of the Fellowship as awarded, without substitution; 

2. hereby release Mejuri Inc. and WIE Suite, and each of their respective subsidiaries and affiliates, their respective affiliates, and each of their respective agents, employees, directors and officers (collectively, the “Releasees”) from any liability in connection with the Fellowship (including the use and/or misuse) or any portion thereof; 

3. agree to the use of your name, address (city and province/territory) and/or photograph without further remuneration, as further detailed in section 13, below, in connection with any publicity carried out by or on behalf of Mejuri and/or WIE Suite with respect to the Fellowship; and 

4. indemnify and hold harmless the Releasees from any claims arising out of or related to the Fellowship. 

1. General.  By applying for a Fellowship, you agree to comply with these Terms as well as the WIE Suite terms and conditions available online at https://mejuri.com/ca/en/company/terms and https://www.thewiesuite.com/terms-of-use  which are incorporated into these Terms by reference, and the decisions of Mejuri and WIE Suite with respect to all aspects of the Fellowships, which are final. The Fellowships are subject to all applicable laws. 

2. Publicity and License. 

1. By applying for a Fellowship and by accepting a Fellowship, each applicant and/or Selected Applicant consents to the use of her name, address (city and province/state) and/or photograph without further remuneration, in connection with any publicity carried out by or on behalf of Mejuri and/or WIE Suite with respect to the Fellowship.

2. WIE frequently hosts live events (“WIE Events”). By attending any WIE Events, as part of the Fellowship or otherwise, you acknowledge and agree that Mejuri, WIE and their respective agents may photograph, video, or otherwise record WIE Events and attendees, including you. By attending a WIE Event you hereby permit, authorize, grant, and license to Mejuri and WIE (a) the rights to photograph, video, or otherwise record you while attending a WIE Event; and (b) the rights to display, publicly perform, exhibit, transmit, broadcast, reproduce, record, photograph, digitize, modify, alter, edit, adapt, create derivative works, exploit, sell, rent, license, otherwise use, and permit others to your image, likeness, appearance, and voice and all materials created by or on behalf of Mejuri and/or WIE that incorporate any of the foregoing ("Materials") in perpetuity throughout the universe in any medium or format whatsoever now existing or hereafter created on any platform and for any purpose, including but not limited to advertising, public relations, publicity, packaging, and promotion of WIE and Mejuri and their respective affiliates and their businesses, products, and services, without further consent from or royalty, payment, or other compensation to you. Mejuri and/or WIE, respectively, shall be the exclusive owner of all rights, including copyright, in the Materials. You hereby irrevocably transfer, assign, and otherwise convey to Mejuri and WIE your entire right, title, and interest, if any, in and to the Materials and all copyrights and other intellectual property rights in the Materials arising in any jurisdiction throughout the universe in perpetuity, including all registration, renewal, and reversion rights, and the right to sue to enforce such copyrights against infringers. You acknowledge and agree that you have no right to review or approve Materials before they are used by Mejuri and/or WIE and that neither Mejuri nor WIE have any liability to you for any editing or alteration of the Materials or for any distortion or other effects resulting from Mejuri and/or WIE’s editing, alteration, or use of the Materials, or Mejuri and/or WIE’s presentation of you. Any credit or other acknowledgment of you, if any, shall be determined by Mejuri and/or WIE in their sole discretion. Neither Mejuri nor WIE have any obligation to create or use the Materials or to exercise any rights given by these Terms.

Personal Information. Personal information collected from applicants will be used by Mejuri and WIE Suite to administer the application process and the Fellowships.
